Welcome to FaizScan. These Terms of Service ("Terms") govern your access to and use of the FaizScan website, platform, and services provided by FaizScan, Inc. ("FaizScan," "we," "us," or "our"), a corporation organized under the laws of the State of California, United States. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.
These Terms apply to all visitors, users, and others who access or use our services, including our brand protection platform, content protection tools, and related analytics and reporting features. We reserve the right to update these Terms at any time, and your continued use of our services constitutes acceptance of any modifications.
FaizScan provides an AI-powered brand protection platform that helps businesses detect, monitor, and enforce against counterfeiting, trademark infringement, brand impersonation, unauthorized sales, digital piracy, and other forms of intellectual property abuse. Our services include automated marketplace monitoring across 1,500+ online platforms, AI-driven counterfeit detection with image recognition and natural language processing, automated enforcement and takedown workflows, analytics dashboards and reporting tools, and consulting services for brand protection strategy.
The specific features and capabilities available to you depend on your subscription plan and any custom agreements between you and FaizScan. We continuously improve our platform and may add, modify, or discontinue features with reasonable notice to subscribers.
To access certain features of our platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.
You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. If you are using our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Access to our platform requires a paid subscription. Subscription plans, pricing, and payment terms are detailed in your service agreement or on our pricing page. All fees are non-refundable except as expressly stated in your service agreement. We reserve the right to modify our pricing with 30 days' advance notice to existing subscribers.
Subscriptions automatically renew at the end of each billing period unless cancelled in writing at least 30 days before the renewal date. You are responsible for all applicable taxes associated with your subscription. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law.
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:
All intellectual property rights in our platform, including software, algorithms, designs, trademarks, and content, are owned by FaizScan or our licensors. Your subscription grants you a limited, non-exclusive, non-transferable license to use our platform for your internal business purposes during the subscription term.
You retain ownership of all data and content you submit to our platform. By submitting content, you grant FaizScan a non-exclusive license to use, process, and analyze such content solely for the purpose of providing our services and improving our platform's detection capabilities.
To the maximum extent permitted by applicable law, FaizScan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our services. Our total liability for any claims arising under these Terms shall not exceed the total fees paid by you during the twelve months preceding the claim.
Our services are provided on an "as is" and "as available" basis. While we strive for high accuracy in our detection and enforcement capabilities, we do not guarantee that our services will identify all instances of infringement or that all enforcement actions will be successful.
You agree to indemnify, defend, and hold harmless FaizScan, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our services, your violation of these Terms, or your infringement of any third-party rights.
Either party may terminate these Terms upon 30 days' written notice. We may suspend or terminate your access to our services immediately if you breach these Terms, fail to pay applicable fees, or engage in activities that could harm our platform or other users. Upon termination, your right to use our services ceases immediately, and we may delete your account data after a 30-day retention period unless otherwise required by law.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in San Francisco, California.
Before initiating arbitration, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
